Business Update
Further to its press release dated August 15, 2025, the Company would like to confirm that it has altered the time at which is business update to be held on September 18, 2025 will commence.
The Business Update will now take place at 11:00 am (Eastern) on September 18, 2025 rather than 1:00 pm (Eastern) as previously reported.

Closing of First Tranche of Financing
On September 3, 2025, the Company received funds in the amount of US$1,500,000 and closed the first tranche (the “First Tranche”) of the financing previously announced by press release dated August 15, 2025.
In respect of the First Tranche the Company issued 169,491.50 proportionate voting shares (“PVS”) and 169,491.50 PVS warrants exercisable into one PVS at $8.85 PVS for 5 years from closing.
All securities issued are subject to a 4 month and one day hold period expiring on January 4, 2026.
Settlement of Interest on Convertible Debentures
On August 25, 2025, the Company issued an aggregate of 14,925 PVS at a deemed issuance price of $16.00 per PV Share to settle in full $238,800 in interest owing (the “Interest Payment“) to the holders of outstanding 10% unsecured convertible debentures issued on August 25, 2023 (the “Debentures“) (see the Company’s press release dated August 25, 2023)
All PVS issued in connection with the Interest Payment are subject to a four month and one day hold period expiring December 26, 2025.
