(Nasdaq:TSSI) (the “Company” or “TSS”), a data center services company that provides AI and high-performance computing infrastructure and software integration services, today announced the pricing of its previously announced underwritten public offering of 3,000,000 shares of its common stock at a public offering price of $17.00 per share of common stock, before deducting underwriting discounts and commissions and offering expenses. The Company intends to use the net proceeds from this offering for general corporate purposes, including, but not limited to, working capital and growth capital.
Lucid Capital Markets is acting as the sole book-running manager for the offering.
In addition, the Company has granted the underwriter a 30-day option to purchase up to an additional 450,000 shares of its common stock at the public offering price, less the underwriting discounts and commissions. All of the shares of common stock to be sold in the offering will be sold by the Company. The offering is expected to close on or about August 14, 2025, subject to customary closing conditions.
The offering is being made pursuant to a shelf registration statement on Form S-3 (File No. 333-284153) filed with the Securities and Exchange Commission (“SEC”) on January 7, 2025, and declared effective by the SEC on July 2, 2025.
