(NASDAQ:OLB) (“OLB” or the “Company”), a diversified fintech company providing payment processing and digital asset technology solutions, today announced that it has entered into a securities purchase agreement for the purchase and sale of 2,166,666 shares of its common stock at purchase price of $0.60 per share for an aggregate price of approximately $1.3 million before deducting commissions and expenses of the offering. In addition, in a concurrent private placement, the Company will issue warrants to purchase up to 2,166,666 shares of common stock. The warrants have an exercise price of $0.78 per share, are exercisable commencing six months after issuance and will have a term of five years from the issuance date. The closing of the offering is expected to occur on or about January 26, 2026, subject to the satisfaction of customary closing conditions.
