(“Aspect“) f om its sole sha eholde (the “Aspect Sha eholde “). Followi g closi g of the Acquisitio , Shelfie holds 70% of Aspect’s sha e capital o a fully diluted basis.

The total co side atio paid to the Aspect Sha eholde co sisted of US$1,582,140 (the “Total Sha eholde Co side atio “), of which US$1,232,140 was satisfied by way of a cash payme t a d the emai i g bala ce of US$350,000 was satisfied th ough the issua ce of 269,231 commo sha es i the capital of Shelfie (the “Sha es“) with a ag eed agg egate value of US$350,000 (CDN$410,769), ep ese ti g a pe Sha e value of USD$1.30 (CDN$1.78).
