(Nasdaq: SYM), a leader in A.I.-enabled robotics technology for the supply chain, today announced the pricing of its previously announced underwritten public offering (the “Offering”) of 10,000,000 shares of its Class A common stock by the Company and SVF Sponsor III (DE) LLC, an affiliate of SoftBank Group Corp. (the “Selling Securityholder”). In the offering, 6,500,000 shares of Class A common stock are being sold by the Company and 3,500,000 shares of Class A common stock are being sold by the Selling Securityholder, each at a public offering price of $55.00 per share. In addition, Symbotic has granted the underwriters a 30-day option to purchase up to an additional 1,500,000 shares of its Class A common stock at the public offering price, less underwriting discounts and commissions.
Symbotic currently intends to use the net proceeds from the Offering for general corporate purposes. The Selling Securityholder will receive all the net proceeds from the sale of shares of Class A common stock sold by them in the Offering. The Offering is expected to close on December 8, 2025, subject to customary closing conditions.
Goldman Sachs & Co. LLC and Citigroup Global Markets Inc. are acting as lead book-running managers of the proposed Offering. TD Securities is acting as an additional book-running manager of the proposed Offering.
