(Nasdaq: MTEK, MTEKW) (“Maris-Tech” or the “Company”), a global leader in video and artificial intelligence (“AI”)-based edge computing technology, today announced that it has entered into a securities purchase agreement with an institutional investor for the purchase and sale of 1,605,136 ordinary shares (or pre-funded warrants to purchase ordinary shares in lieu thereof) in a registered direct offering (the “Offering”), at a purchase price of $1.24 per ordinary share.
The closing of the Offering is expected to occur on or about March 9, 2026, subject to the satisfaction of customary closing conditions. The gross proceeds from the Offering are expected to be approximately $2.0 million before deducting offering expenses payable by the Company. The Company intends to use the net proceeds from the Offering for working capital and general corporate purposes.
The ordinary shares and the pre-funded warrants in lieu thereof will be issued in a registered direct offering pursuant to an effective shelf registration statement on Form F-3 (File No. 333-270330) previously filed with the U.S. Securities and Exchange Commission (the “SEC”), under the Securities Act of 1933, as amended (the “Securities Act”), and declared effective by the SEC on March 16, 2023.
